[ 1.] In principle
The delivering and the operation of Slotfire, Bacher, Seibert, Teuschen GbR underlies these general terms and conditions of business. Aberrance and additions must be drawn up in writing.
[ 2.] Making a contract, utilization and terms of payment, sellers right of lien
Our offers are capable of being exempted and with the reservation of self-supplying. The Slotfire-Racetrack modules are sold for private and uncommercial utilization. A commercial or tradeable use of the Racetrack modules require a written approval of Slotfire, Bacher, Seibert, Teuschen GbR. Variation in price and technology are, if not declared otherwise, always possible. Basis of the price of the respective purchase is the valid pricelist respectively the written offer. Sales tax is included in the price. Expense of packing, insurance and transport will be identified separately. Until complete payment has been made the goods will remain in possession of Slotfire, Bacher, Seibert, Teuschen GbR.
[ 3.] Warranty and recompensation
Slotfire, Bacher, Seibert, Teuschen GbR ensures that the delivered products are free from manufacturing and material defects. The warranty is two years from the date of delivery. Slotfire, Bacher, Seibert, Teuschen GbR is not liable for damages caused by improper handling, storage, transport etc. Particularly the "instruction manual and safety rules" which are delivered with the racetrack and our terms and conditions of business are to be observed.
Faulty deliveries and operations will be mended at the discretion of Slotfire, Bacher, Seibert, Teuschen GbR or it will be replaced.
The Slotfire modules are to a high proportion handmade. Consequently, they can never be completely free of defects, therefore, in Individual cases, instructions on how to circumvent the effect of defects can be made as sufficient correction. In case Slotfire, Bacher, Seibert, Teuschen GbR accepts a reported defect SBS+TGbR will take over the incurred costs of spare parts, while transportation costs will be payed by the buyer. The buyer gives Slotfire, Bacher, Seibert, Teuschen GbR sufficient opportunity and time for corrective action.
In case the buyer disallows that Slotfire, Bacher, Seibert, Teuschen GbR will be released of its responsibilities. Alterations, rearrangements and changes on the products by third parties without the approval of Slotfire, Bacher, Seibert, Teuschen GbR will end the warranty. The same applies if the Slotfire modules should be used commercially. Possible replacements do not extend the warranty. Compensation claims against Slotfire, Bacher, Seibert, Teuschen GbR and its suppliers due to any legal ground i.e. tort, producer's liability as well as indirect and consequential damages are excluded.
[ 4.] Miscellaneous
If any of these terms should be invalid, the remaining terms keep valid. Place of fulfillment and jurisdiction is Leverkusen, exclusively German law is to apply.
